1. Purpose

These Terms of Sale govern the contractual relationship between OrChair SAS (SIRET: 821 473 436), headquartered at 1 Passage des Acacias, 75017 Paris, France, and any individual or entity wishing to purchase advertising space or related services on OrChair.

2. Services offered

OrChair offers the following advertising services:

• Display banners: horizontal, vertical, and inline formats, integrated into the Site's editorial content.
• Sponsored articles: AI-generated editorial content identified as sponsored, published in categories chosen by the advertiser.
• Language targeting: distribution in one or more of the Site's 12 languages.
• Thematic targeting: distribution in one or more of the Site's 33 categories.

3. Pricing

Pricing is provided upon request via the Advertising page form. Prices are quoted in euros excluding tax. Prices may be modified at any time; changes do not apply to already confirmed orders.

4. Ordering

All orders are placed via the online form or through direct exchange with the sales team. Orders are confirmed by sending a signed purchase order and corresponding payment. OrChair reserves the right to refuse any order contrary to its editorial line or public order.

5. Payment terms

Payment is made by bank transfer or credit card, as agreed. Payment is due within 30 days of the invoice date, unless otherwise agreed. Late payment incurs penalties calculated at the legal rate plus 5 points.

6. Right of withdrawal

In accordance with French consumer law, online advertising services fully performed before the end of the withdrawal period are not subject to the right of withdrawal. The advertiser is informed at the time of order.

7. Liability

OrChair undertakes to broadcast advertisements in accordance with agreed specifications. Its liability is limited to the amount of the order in question. OrChair shall not be held liable for indirect damages, loss of revenue, or reputational harm resulting from advertising broadcast.

8. Intellectual property

The advertiser guarantees ownership of intellectual property rights over the advertising materials provided and undertakes to provide lawful content compliant with applicable regulations.

9. Data protection

Personal data collected in the context of the business relationship is processed in accordance with GDPR and OrChair's Privacy Policy. Billing data is retained in compliance with legal and accounting obligations.

10. Applicable law

These Terms of Sale are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the commercial courts of Paris, after attempted amicable resolution.

11. Mediation

In accordance with French consumer law, consumer advertisers may use OrChair's free mediation service. The mediator can be reached via the contact details provided on the Site.
